All travelers are welcome to be part of the Jet-It-Together community. As a member you have the opportunity to save up to 70% on private jet travel as compared to chartering a whole plane. Membership is free and Jet-It-Together members pay the price of each shared private trip that they initiate or join and any service such as catering or onboard phone service that they choose to add. The first step towards joining Jet-It-Together is to read our membership agreement and click the bar (at the bottom of this page) to indicate your agreement. JET-IT-TOGETHER, LLC CLUB MEMBERSHIP AGREEMENT AND TERMS OF USE This Club Membership Agreement is between Jet-It-Together, LLC, a Connecticut limited liability corporation, with offices at 12 Plains Road, PMB 310, Essex, CT 06426 ("JIT") and any person or entity indicating agreement with the terms and conditions of this Club Membership Agreement by "clicking" on the "I agree" icon provided on the JIT Website, and who completes the registration process to open and maintain a Club Membership account with the JIT interactive on-line service ("Club Member"). This Club Membership Agreement sets out the terms and conditions by which JIT will offer and Club Member will accept and pay for certain on-line charter flight scheduling, transaction and information services. JIT locates and reserves for its Club Members qualified private jet charter operators which are certified air carriers operating under Part 135 of the Federal Aviation Administration Regulations (Title 14 of the Code of Federal Regulations) meeting JIT Club Members’ air travel needs ("Carrier" or "Carriers"). Club Member hereby appoints JIT as its non-exclusive agent for these purposes, and acknowledges and agrees that JIT will act solely as an agent, and is not an air carrier or a public charter organization. BY SELECTING (CLICKING ON) THE "I AGREE" BUTTON PROVIDED OR BY ACCESSING AND USING ANY JIT SERVICE, YOU EXPRESSLY AGREE TO AND CONSENT TO BE BOUND BY ALL OF THE TERMS OF THIS CLUB MEMBERSHIP AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS CLUB MEMBERSHIP AGREEMENT YOU MUST NOT SEEK TO ACCESS OR TO USE THE JIT SERVICES. THE EFFECTIVE DATE OF THIS AGREEMENT IS THE DATE ON WHICH YOU ESTABLISH A MEMBERSHIP ACCOUNT. Term and Termination: This Agreement will remain in effect for a period of one year from the effective date, unless earlier terminated as provided herein. Provided that Club Member shall not then be in material default, including as to Club Member’s payment obligations, this Agreement shall automatically renew for an additional period of one year on each anniversary of the effective date. JIT reserves the right to terminate this Club Membership Agreement at any time for any reason upon thirty (30) days written notice to Club Member, and immediately for any material default by Club Member. 1.0 Services 1.1 Club Membership is open to individuals, business organizations or other entities which join the JIT Club and abide by the terms and conditions of this JIT Membership Agreement. Club Membership allows Club Members to create new individual or group flights or to be part of another Club Member’s group flight, at times and with itineraries of a Club Member’s choosing. JIT reserves the right to reject any membership in its sole discretion. 1.2 Website Access and JIT Service. Upon setting up a JIT Membership account JIT will provide Club Member with restricted access to the JIT Website enabling Club Member to search available charter flights, to participate in posted flights, to initiate new flight itineraries, receive flight availability alerts, and reserve seats on confirmed flights. Website Services and features are described in greater detail at www.jet-it-together.com. 1.3 Once a charter flight is booked, JIT will facilitate final booking and flight arrangements between the charter operator and Club Members, as required by the charter operator. JIT will not execute charter operator contracts on behalf of Club Members, and assumes no liability under any such agreement. 1.4 Club Member’s use of the Services on the Website are governed by the terms of use of set forth in this Club Membership Agreement and on the JIT Website, including administrative rules related to booking procedures, calculation of prorated flight costs, additional costs, cancellation charges, required passenger information, regulatory compliance, and other administrative matters. Club Member acknowledges and agrees that a Carrier selected for any particular flight will retain sole responsibility and control over all aspects of the aircraft charter services provided to Club Member, including pricing, aircraft availability, selection of crew, departure and arrival times, passenger conduct, baggage and cargo, catering, and all matters relating to the safe operation of the aircraft. 1.5 Club Membership privileges are available to family members, guests, employees or other persons affiliated with a Club Member ("Affiliates"). Club Memberships are non-transferable and may not be made available to unaffiliated persons or entities. Club Member shall remain solely responsible for all charges and fees for all users of its membership rights. 2.0 Payments 2.1 Members joining between May 1, 2009 and December 31, 2010 will be Charter Members. Charter members will have a lifetime exemption from JIT Club Membership dues. 2.2 If Club Member’s credit card charge is denied for any reason any then pending Club Member’s flight booking shall be cancelled and Club Member will be deemed to be in material default unless Club Member makes payment by wire transfer immediately upon notice of such denial. Club Member agrees to pay a late payment fee equal to eighteen percent (18%) per year of any amount owed, from the date payment was due to date of receipt of actual payment, together with any cost of collection, including attorney fees and costs. 3.0 Process and Booking 3.1 If a Club Member participates in a reservation process that results in a sufficient number of travelers such that in combination they cover the cost of a flight, JIT will, as agent for the participating Club Members, select and negotiate with one or more Carriers to secure the desired flight itinerary. The cost of the flight for each Club Member will be prorated, based on the amount of the actual costs of the flight and any associated Carrier costs, the number of Club Member travelers who have joined the travel group.. Once a flight is confirmed, the Club Member is committed for its prorated portion of the charges for the flight and any later assessed flight charges. In no event will Club Members pay more than the maximum that they had originally committed to pay, plus applicable taxes. Club Member’s flight costs will be charged to Club Member’s credit card, paid by wire transfer or agreed upon method stipulated by the Carrier. JIT’s handling fee (see 3.3 below) will be charged by JIT to the Club Member’s credit card or other agreed upon payment method at the time of confirmation of the flight by JIT. Club Members shall receive an informational electronic invoice for each booked flight and a supplemental invoice for any later assessed flight charges. 3.2 Within 48 hours prior to the scheduled departure time participating Club Members will receive a confirmation that includes the planned cost of the trip (including estimated taxes and fees, but not including any extra costs or fees which may be incurred or imposed during or after completion of the scheduled trip). If the planned cost is lower than the Club Member’s quoted cost, Club Member will be automatically charged the lower cost. All charges and credits related to a trip will be tallied and posted within seventy-two (72) hours of the completion of the flight. Later assessed additional flight costs and unanticipated expenses may be charged when received by JIT. 3.3 Jet-It-Together will charge Club Members up to a maximum of 15% of the total Member’s quoted cost of each flight that it books as its non-refundable handling fee. 3.4 The sum of the booked flight’s planned pro-rata Member’s cost and the Jet-It-Together handling fee will never exceed the Club Member’s quoted cost, plus applicable taxes. 3.5 Should a Club Member have to cancel participation in a confirmed flight, JIT will make reasonable efforts to find a substitute for cancelled seats, and will refund the Club Member’s pro-rated costs solely in the event JIT is able to secure a substitute Club Member. However, JIT cannot guarantee any refund for cancellations that are not within the confirmed Carrier’s stated cancellation policy. 4.0 Club Member’s Continuing Obligations 4.1 Club Member acknowledges that it has reviewed and will regularly revisit and review all information posted on the JIT Website, including FAQs, special instructions, advisories, and other information regarding Club Member’s obligations and agrees to comply with all instructions, advice, rules, terms and conditions. Club Member acknowledges and agrees that JIT may modify the terms of use of Club Membership from time to time as it may deem fit, and agrees to be bound by such modifications. JIT will make reasonable efforts to alert all Club Members via e-mail or Website postings of any material modifications to these continuing obligations. Club Member agrees that its continued use of the Website and JIT Services will be deemed to constitute its consent to all modifications. 4.2 Club Member agrees not to use the JIT Services to procure flights or seats for unaffiliated parties, nor to sell or otherwise make available to parties not JIT Club Members any personal or proprietary information obtained through the JIT website, including but not limited to information about any other Club Member or Club Member usage of the JIT Services. 4.3 Club Member agrees to provide accurate and complete registration information regarding Club Member’s identity and identity of affiliated parties using the JIT Services, including legal name, address, telephone number and e-mail address. 4.4 Club Member agrees to remain solely responsible for the security, confidentiality and integrity of passwords, messages and other content transmitted to JIT, and shall prevent unauthorized access to or use of the JIT Service. 5.0 General Terms 5.1 Default. Club Member shall be deemed in material default for any of the following reasons: a) a denial of credit card charges or other failure to make timely payments for applicable Club Membership Dues (charter members being exempt from dues), handling fees, or for any other JIT Services; b) insolvency or bankruptcy; c) unlawful, prohibited or otherwise inappropriate use of the JIT Service; or d) breach of any other material term of this Club Membership Agreement Club Member shall have fifteen (15) calendar days to cure a default upon receipt notice of default by JIT. In the event a default remains uncured, or is uncurable by its nature, JIT may elect to terminate this Club Membership Agreement immediately and seek any and all rights and remedies available at law or equity. 5.1.1 Club Member may terminate this Club Membership Agreement upon material default of JIT which shall remain uncured after fifteen (15) calendar days written notice, and Club Member’s sole and exclusive remedy shall be to discontinue use of the JIT Service and to cancel its JIT Membership. 5.2 Indemnification. Club Member agrees to indemnify and hold harmless JIT, its shareholders, affiliates, officers, directors, agents and employees from and against any and all liabilities, claims, demands, suits, judgments, damages losses, costs and expenses (including expenses and fees of legal counsel) ("losses") for, on account of, in connection with, or arising under with any breach of the terms and conditions of this Club Membership Agreement, and any instructions, advice, rules, terms and conditions posted on the JIT Website, except where and to the extent that such losses arise from the willful misconduct or gross negligence of JIT. 5.3 Limitation of Liability. IN NO EVENT (EXCEPT AND ONLY WHERE ANY SUCH EXCLUSIONS ARE EXPRESSLY PROHIBITED BY LAW), SHALL JIT BE LIABLE TO CLUB MEMBER OR ANY PERSON OR ENTITY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING ANY DAMAGES FOR LOSS OF PROFITS, LOSS, CORRUPTION OR ALTERATION OF DATA, LOSS DUE TO INABILITY TO USE THE JIT SERVICES, OR OTHER INTANGIBLE LOSSES, EVEN IF JIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CLUB MEMBER ACKNOWLEDGES AND AGREES THAT JIT, WHICH ACTS AT ALL TIMES UNDER THIS CLUB MEMBERSHIP AGREEMENT AS CLUB MEMBER’S AGENT, SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY INJURY, DAMAGE, LOSS, OR EXPENSE SUFFERED BY CLUB MEMBER OR ITS GUESTS, EMPLOYEES AFFILIATES OR OTHER CHARTER FLIGHT PASSENGERS RELATING TO OR ARISING OUT OF THE SELECTION, USE OR OPERATION OF ANY AIRCRAFT, INCLUDING ANY ACTS OR OMISSIONS OF ANY CHARTER CARRIER. JIT’S LIABILITY FOR DIRECT DAMAGES TO ANY CLUB MEMBER OR AFFILIATE SHALL IN NO EVENT EXCEED THE TOTAL CLUB MEMBERSHIP DUES PAID BY SUCH CLUB MEMBER IN THE PREVIOUS TWLEVE-MONTH PERIOD. 5.4 JIT shall not be responsible for any flight delay, cancellation or other acts of a Carrier, misuse of a Club Member’s information by another Club Member, or for any cause beyond its reasonable control, including but not limited to: laws or regulations of any government agency; acts of God; weather conditions, strike or labor dispute; damage to, loss or unavailability of aircraft or mechanical failures or lack of supplies or parts; or any failure to finalize a tentative or guaranteed reservation. Club Member agrees that from time to time the JIT Service may be inaccessible or inoperable for any reason, including server or other equipment malfunctions, scheduled or emergency maintenance or repairs. 5.5 Club Member agrees that any claim or cause of action arising out or of related to the use of the Services or the Website must be submitted to binding arbitration in accordance with Section 5.11within one (1) year after such claim or cause arose or be forever barred. 5.6 Disclaimer of Warranties. Club Member acknowledges and agrees that its use of the JIT Website, including any material which Club Member uploads, downloads or transmits, is at Club Member’s own risk, and that JIT disclaims any warranty of any kind, express or implied, including without limitation any warranty of merchantability, or fitness for a particular purpose regarding the JIT Service, the JIT Website, or its contents. JIT makes no warranty that the JIT Service meets any particular Club Member requirement, will be uninterrupted, timely, secure or error-free, or that any information, content available on or through the JIT Website, or any other website linked to or referenced therein, will be reliable, accurate or complete. 5.7 Notices. All notices shall be given in writing and sent to the following addresses or contact numbers: For JIT -- at the address noted above. For Club Member -- to the postal or e-mail address provided in the Club Member profile. (except that JIT may provide notices to Club Member in the normal course of providing the Services by means of e-mail or website postings.) 5.8 The JIT Privacy Policy may be found at www.jet-it-together.com/privacy, which may be modified from time to time by JIT. 5.9 Assignment. Club Member may not assign this Club Membership Agreement without the express written consent of JIT. 5.10 Applicable Law. The laws of the Commonwealth of Massachusetts shall govern the interpretation and enforcement of this Club Membership Agreement, without reference to its conflict of laws rules. This Club Membership Agreement is subject to the rules and regulations of the Federal Aviation Administration and the Department of Transportation. 5.11 Arbitration. In the event of a dispute involving matters arising under this Club Membership Agreement, the dispute shall be submitted by the claiming party to arbitration by a single arbitrator in accordance with the rules of the Commercial Arbitration Rules of the American Arbitration Association. The venue for such arbitration shall be at a location in or near Boston, Massachusetts. Any resulting award or judgment will be fully binding on the parties and fully enforceable by the appropriate State or Federal Courts having jurisdiction over the party against whom enforcement is sought. 5.12 Entire Agreement. This Club Membership Agreement, together with the terms and conditions set forth on the JIT Website and the JIT Privacy Policy, constitutes the entire understanding of the parties regarding its subject matter, and may not be amended without the express agreement of both parties. Notwithstanding the foregoing, JIT reserves the right to add to or modify the terms of this Club Membership Agreement by prominently posting such amended terms on the JIT Website. Club Member’s continued access to and use of the JIT Service after such posting shall constitute agreement with and acceptance of such additional or modified terms.
